Ireland Private Company Limited by Shares Incorporation (Form A1)
Incorporate a private company limited by shares (LTD) in Ireland by filing Form A1 and a constitution with the Companies Registration Office (CRO) on CORE, under Part 2 of the Companies Act 2014. Scoped to the single-director, single-secretary, single-subscriber case most relevant to an individual forming their own company (the IE counterpart to gb/companies-house/company-incorporation-in01 and us/ca/sos/business-entity-llc-formation): an LTD company is the only Irish company type that may have just one director, provided it appoints a separate secretary. Filed under the Ordinary Online A1 scheme (10 working days) with either the CRO's standard one-document LTD constitution or a bespoke constitution attached. Designated Activity Companies, public companies, companies limited by guarantee, unlimited companies, multiple directors/subscribers, multiple share classes, the Fé Phráinn A1 fast-track scheme (which requires separate CRO pre-approval of a promoter's constitution template), the optional company-name-reservation pre-step, and the separate post-incorporation Register of Beneficial Ownership (RBO) filing are all out of scope; see VERIFICATION.md. It does not submit the registration; the live cro.ie sources are always authoritative.

37 fields across 7 steps, read from the published schema.json — names, types, requiredness, and validation as the document states them. The live government form remains the authoritative source.
Company name and business activity
-
companyNamestring requiredMust end in 'Limited', 'Ltd', 'Teoranta', or 'Teo' (this document's LTD scope only). Must not be identical or similar to a name already on the Register of Companies, offensive, or suggestive of state sponsorship (Companies Act 2014 s.30). Not checked against the separate Register of Business Names or the Trade Mark Register — the CRO does not cross-check those; that is the applicant's responsibility. May optionally be pre-reserved for 28 days via a separate Reserved Company Name (RCN) application, which this document does not model.
length: 3–150 -
natureOfBusinessDescriptionstring requiredFree-text description of the principal activity the company will carry on in the State. An LTD company has no stated objects in its constitution, but the general nature of the activity must still be given on Form A1.
length: 1–500 -
naceCodestring requiredThe NACE (statistical classification of economic activities in the EU) code matching natureOfBusinessDescription, required by the CRO for statistical purposes on every Form A1 regardless of company type.
pattern
Registered office and email address
-
registeredOfficeAddressLine1string requiredEvery company must have a registered office: the address to which CRO correspondence and all formal legal notices are sent, and where people have a right to inspect certain registers and documents in person. Must be a physical location in the State capable of receiving An Post deliveries — a PO box alone is not sufficient.
length: 1–160 -
registeredOfficeAddressLine2string optionalTown, city, and county, e.g. 'Gloucester Place Lower, Dublin 1'.
length: 0–160 -
registeredOfficeEircodestring optionalIreland's postal identifier, e.g. 'D01 F5P2'. Not every registered address has one on file; not confirmed as a mandatory Form A1 field, so modeled as optional pending live-form confirmation.
length: 0–8 -
companyEmailAddressstring requiredAn email address for the company, required alongside the registered office on Form A1.
length: 0–254
Director appointment
-
directorFullNamestring requiredPersonal identifier; handle as sensitive data. This document scopes to a single individual director — the minimum an LTD company may have, provided a separate secretary is also appointed (see secretaryIsBodyCorporate/secretaryFullName). Every other Irish company type requires a minimum of two directors and is out of scope here. The director must be over 18 and not an undischarged bankrupt (Companies Act 2014 ss.131–132).
length: 1–160 -
directorDateOfBirthdate requiredPersonal identifier; handle as sensitive data. YYYY-MM-DD. Director must be 18 or over (Companies Act 2014 s.131).
-
directorPpsnstring optionalPersonal identifier; handle as sensitive data. A secondary source (cpdstore.ie, 2023) describes PPSN disclosure for company officers as 'soon to be required' on Form A1; the CRO's current published Company Officers guidance does not itself state a firm mandatory date for this specific form (PPSN is separately mandatory for the Register of Beneficial Ownership, which is out of scope of this document). Modeled as optional pending confirmation against the live CORE form at authoring time — flagged in VERIFICATION.md for reviewer attention.
pattern -
directorNationalitystring requiredPersonal identifier; handle as sensitive data.
length: 0–100 -
directorOccupationstring requiredPersonal identifier; handle as sensitive data.
length: 0–160 -
directorResidentialAddressLine1string requiredPersonal identifier; handle as sensitive data.
length: 1–160 -
directorResidentialAddressLine2string optionalPersonal identifier; handle as sensitive data.
length: 0–160 -
directorResidentialAddressCountrystring requiredPersonal identifier; handle as sensitive data. Determines directorIsEeaResident.
length: 0–100 -
directorOtherDirectorshipsstring optionalPersonal identifier; handle as sensitive data. Name and registration number of other bodies corporate, incorporated in the State or elsewhere, of which the director is or has been a director. Excludes bodies the director has not directed in the past 5 years, and wholly-owned-subsidiary relationships within the same group. A person may not be a director of more than 25 companies at once (Companies Act 2014 s.142), subject to statutory exceptions.
length: 0–1000 -
directorIsEeaResidentboolean requiredAt least one director of every Irish company must be resident in the EEA (the UK left the EEA-resident area on 31 December 2020). Since this document scopes to a single-director LTD company, if this is false the company must instead give a Section 137 bond (see section137BondArranged).
-
section137BondArrangedboolean optionalRequired (must be true) when directorIsEeaResident is false. A Section 137 bond (Companies Act 2014 s.137) substitutes for the EEA-resident-director requirement; it is a real insurance bond arranged separately from Form A1 and is not itself submitted with the incorporation, only declared.
Secretary appointment
-
secretaryIsBodyCorporateboolean requiredA body corporate may act as secretary to another company (but not to itself). Because this document scopes to a single-director LTD company, the secretary can never be the same person as the sole director — a single-director LTD company must have a separate secretary. If true, give secretaryCorporateName/secretaryCorporateRegistrationNumber instead of the individual secretary fields.
-
secretaryFullNamestring optionalPersonal identifier; handle as sensitive data. Required unless secretaryIsBodyCorporate is true. Must be over 18 (Companies Act 2014 s.131) and a distinct person from directorFullName.
length: 1–160 -
secretaryDateOfBirthdate optionalPersonal identifier; handle as sensitive data. YYYY-MM-DD. Required unless secretaryIsBodyCorporate is true.
-
secretaryNationalitystring optionalPersonal identifier; handle as sensitive data. Required unless secretaryIsBodyCorporate is true.
length: 0–100 -
secretaryResidentialAddressLine1string optionalPersonal identifier; handle as sensitive data. Required unless secretaryIsBodyCorporate is true.
length: 1–160 -
secretaryResidentialAddressCountrystring optionalPersonal identifier; handle as sensitive data. Required unless secretaryIsBodyCorporate is true.
length: 0–100 -
secretaryCorporateNamestring optionalRequired only when secretaryIsBodyCorporate is true.
length: 1–160 -
secretaryCorporateRegistrationNumberstring optionalRequired only when secretaryIsBodyCorporate is true.
length: 0–40
Constitution
-
constitutionTypeenum requiredstandard_ltd_constitution = the CRO's standard downloadable one-document LTD constitution (Schedule 1, Companies Act 2014), completed and attached unamended; bespoke_constitution = a custom one-document constitution drafted by the applicant or their advisor, still required to comply with the Schedule 1 format and the Checklist for Constitution rules. An LTD company's constitution has no memorandum of association and states no objects, unlike every other Irish company type (out of scope of this document).
enum: standard_ltd_constitution | bespoke_constitution -
constitutionDocumentfile requiredThe constitution must be signed by the subscriber(s), with their address and description stated, and their signature witnessed and dated; the subscriber must also handwrite the number of shares taken next to their signature. Uploaded as a PDF alongside Form A1 on CORE (maximum 8 MB per the CORE filing guidance).
-
subscriberSignatureWitnessNamestring requiredThe witness to the subscriber's signature on the constitution cannot be an officer or subscriber of the company being formed.
length: 1–160
Declaration and signatures
-
lawfulActivityDeclarationConfirmedboolean requiredForm A1 incorporates a declaration that the requirements of the Companies Act 2014 have been complied with, and as to the activity the company is being formed to engage in.
-
formA1WetSignatureConfirmedboolean requiredForm A1 requires original ('wet') signatures from the director(s), secretary, and subscriber(s), clearly legible and not digitally signed; the CRO returns forms signed digitally.
Verification record
This file is the source-review record for this document version, per the manual-source-review-v1 practice. It documents the provenance of the published fields and flow and states the current verification claim honestly.
Current claim
status:draftverification.method:manual-source-review-v1verification.lastVerifiedAt:2026-07-01
The document was derived from and cross-checked against the official sources below, but the full field-by-field comparison the practice requires (manual-source-review-v1 → Procedure step 2) has not yet been completed and recorded against the live CORE (Companies Registration Online Environment) filing screens. It therefore remains draft, not verified.
Why this schema and why now (GOV-409)
GOV-409 is a recurring "GovSchema Standard Research" brief scoped to five verticals: DMV, Business Formation, Visa, Passport, Taxes. A catalog audit (discovery/catalog.json: 82 candidates, 41 published across 8 jurisdictions before this cycle) found Business Formation only published for GB (gb/companies-house/company-incorporation-in01) and US-CA (us/ca/sos/business-entity-llc-formation, plus the EIN identifier), leaving two logged tier-2 candidates unauthored: ie/cro/company-incorporation and ca/on/registration/business-incorporation. This continues the prior GOV-381 research cycle's own "Next" note, which flagged both as good targets. Ireland was chosen over Ontario because CRO is a single national authority (like GB, unlike the US or Canada's provincial/federal split noted in discovery/README.md), it already has three published IE schemas to build authority-coverage alongside (ie/dfa/* passports, ie/dsp/pps-number-application, ie/dttas/driving-licence-renewal), and its Form A1 requirements are well-documented across multiple independent public pages.

Scope narrowing and why
GovSchema v0.2 fields are flat (SPEC.md §6.1): there is no array or repeating-group construct (GSP-0009 tracks a future addition). Form A1 supports an arbitrary number of directors, subscribers, and share classes, so — following the same precedent as gb/companies-house/company-incorporation-in01 and us/ca/sos/business-entity-llc-formation — this document is scoped to the single-director, single-secretary, single-subscriber, single-share-class Private Company Limited by Shares (LTD) case: the common individual-founder scenario, and the only Irish company type that may have just one director. Concretely, out of scope for v1.0.0:
- Designated Activity Companies (DAC), public companies (PLC/PUC/PULC), Companies Limited by Guarantee (CLG/DAC-by-guarantee), unlimited companies, Societas Europaea, and UCITS — all require a minimum of two directors and/or a two-document (memorandum + articles) constitution with stated objects, unlike the LTD's one-document, no-objects constitution this document models.
- More than one director, secretary, subscriber, or share class — the source form's repeatable blocks for each are not modelled.
- The Fé Phráinn A1 fast-track scheme — it requires a promoter to have a draft constitution pre-approved by the CRO as a standing template before any individual incorporation, a separate multi-step relationship out of scope of a single incorporation's data model.
constitutionTypetherefore only distinguishes the CRO's standard downloadable LTD constitution from a bespoke one, both filed under the Ordinary Online A1 scheme. - Company name reservation — an optional, separate pre-step (RCN application, €25, 28-day hold) that produces a certificate presentable alongside a later Form A1 for a fee offset. Not part of Form A1 itself.
- The Register of Beneficial Ownership (RBO) filing — a distinct post-incorporation statutory filing (separate from Form A1) with its own PPSN-verification regime; out of scope of this document entirely.
- Fees (name reservation €25, incorporation €50 per the secondary source) — payment metadata, not applicant-collected data, consistent with how other schemas in this registry (e.g.
au/apo/passport-application-first-adult) treat fees.
What is NOT yet independently verified
directorPpsn/PPSN mandatoriness on Form A1 itself. The secondary source (cpdstore.ie, dated April 2023) lists PPSN as "soon to be required" for directors on Form A1. The CRO's own current (2026) "Company Officers" page, read in full for this review, does not restate a PPSN requirement for Form A1 in its body text — it only references PPSN in navigation links pointing to the separate Register of Beneficial Ownership ("Beneficial Owners with no PPSN"). It is plausible the phased-in requirement mentioned in 2023 has since taken effect for Form A1 itself (Ireland's Companies (Corporate Enforcement Authority) Act 2021 introduced PPSN disclosure duties for company officers more broadly), but this review could not confirm that directly against a live CORE Form A1 field list.directorPpsnis therefore modelled asrequired: false(optional) rather than mandatory, and this is the single most important open item for the next reviewer to resolve — ideally by inspecting the live CORE filing screens directly, which this review's Wayback-only retrieval method could not do.registeredOfficeEircodemandatoriness — the Registered Office source page describes the address requirement in full but does not explicitly list Eircode as a separate mandatory Form A1 field (as distinct from being part of a complete Irish postal address); modelled as optional.naceCodepattern — inferred from example NACE codes in general use (e.g.62.02,10.83) as the EU NACE Rev. 2 two-digit-division / optional-two-digit-subclass structure; the CRO's own NACE code PDF (referenced but not linked with a stable URL on the Leaflet 1 page) was not independently retrieved to confirm the exact permitted string format CRO's CORE system expects (e.g. whether the separator dot is required, optional, or omitted entirely in the online form field).- Online CORE screen order and wording were not captured screen-by-screen;
sourceRefannotations cite the named cro.ie guidance pages' own section headings, which are believed to mirror the CORE filing flow's field groupings but this was not independently confirmed field-by-field against the live online service (the same caveatgb/companies-house/company-incorporation-in01records forregister-a-company-online). - Section 137 bond mechanics — confirmed as a real substitute for the EEA-resident-director requirement from the Company Officers page, but the bond's own application process, cost, and required particulars are a separate undertaking not modelled here (
section137BondArrangedrecords only the declaration that one is in place).
Mock test run (phase 4)
Two realistic payloads and one deliberately invalid payload were checked field-by-field against every field's type/required/validation rule, the conditional-requiredness relationships described in field text (directorIsEeaResident → section137BondArranged; secretaryIsBodyCorporate → the individual vs. corporate secretary field groups), and steps[].fields referential completeness (every field appears in exactly one step; no step references an undeclared field).
- Single-director, EEA-resident, standard constitution — an Irish director/subscriber (same natural person) forming a small LTD trading business, EEA-resident (so no Section 137 bond needed), a separate individual Irish secretary, 100 shares at €1 nominal value, the CRO's standard LTD constitution. Result: valid, all fields pass.
- Non-EEA-resident director with a Section 137 bond, body-corporate secretary, bespoke constitution — a UK-resident (non-EEA since 2021) director/subscriber with a bond in place, a corporate-secretary provider (common in practice, e.g. a formation-agent-supplied secretarial company), a single share, and a bespoke (non-standard) constitution. Result: valid, all fields pass, exercising the
secretaryIsBodyCorporate: truebranch and the Section 137 conditional path together in one payload. - Deliberately invalid payload — a 2-character company name (fails
minLength: 3), a malformed NACE code"ABCDE"(fails the numeric pattern), a PPSN without its required letter suffix (fails pattern), zero subscribed shares (failsminimum: 1), an unrecognizedconstitutionTypevalue (fails enum),directorIsEeaResident: falsewith nosection137BondArrangeddeclaration, andsecretaryIsBodyCorporate: truewith neither corporate-secretary field given. Result: correctly rejected — all 8 induced errors were caught (5 field-level validation failures, 3 conditional-requiredness failures), confirming the schema detects each class of error independently.
All three payloads were also checked against schema.json's steps array: every field is reachable from steps[0] through next chaining, and no field is orphaned from a step.
Path to a verified claim (next step)
To advance to status: verified, a reviewer applies manual-source-review-v1 (Procedure step 2) field-by-field against the live CORE Form A1 filing screens specifically (not just the cro.ie guidance pages), resolves the directorPpsn mandatoriness question above as the top priority, confirms the NACE code pattern against CRO's own NACE code list PDF, resolves any discrepancy by shipping a new schema version (immutability — VERSIONING §3, practice Procedure step 5), and records the outcome here plus sets status: verified with a current verification.lastVerifiedAt/nextReviewBy.
Re-verification
Per the practice's Cadence, nextReviewBy is set to 2027-01-01 (6 months). Re-check the source on or before that date and on any source.url change, and specifically re-check whether PPSN has become a confirmed mandatory Form A1 field by then.
